By accessing or otherwise using Cloud Connection Platform you agree to be bound by these terms and conditions of use. "we", "our" or "us" refers to Connection.
Connection may change these terms and conditions of use at any time, without prior notice. If you access or use the Cloud Connection Platform after we post a change, you accept that change. If you do not accept the change, do not access or use the Cloud Connection Platform. You should check these terms and conditions of use periodically.
We grant you a limited license to access and use the Cloud Connection Platform only for your internal business operations and provided that you do not modify the Cloud Connection Platform, its content, or any copyright or other proprietary notices. Unauthorized use of the Cloud Connection Platform or any content may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.
Your right of access and use is limited to your employees who have been properly authorized and registered for access to, and use of the Connection Cloud Platform (each an “Authorized User”). You may allow your Authorized Users to use the Connection Cloud Platform solely for the purposes set forth herein. You are responsible for your Authorized Users’ compliance with all the terms and conditions of this access agreement and applicable online access and security rules, policies or procedures that may be established by us from time to time. You are responsible for maintaining the security and confidentiality of all authentication credentials associated with your use of the Connection Cloud Platform and your Authorized Users. You must promptly notify us of any possible misuse of your accounts or authentication credentials or any security incident related to the Connection Cloud Platform or your use thereof.
This license terminates automatically if you breach any of these terms and conditions of use. Upon termination, you must immediately destroy all materials extracted from the Connection Cloud Platform in your possession.
Except as expressly authorized above, you may not copy, modify, distribute, download, display, transfer, post, or transmit the Cloud Connection Platform or its content in any form without our prior written permission.
You may not, and may not cause or permit others to, modify, make derivative works of, disassemble, decompile, reverse engineer, reproduce, republish, download, or copy the Connection Cloud Platform or any part thereof.
You may not disable, tamper with, or otherwise attempt to circumvent any billing mechanism that relates to your use of the Connection Cloud Platform.
You may not, and may not cause or permit others to, license, sell, transfer, assign, distribute, outsource, permit timesharing or service bureau use of, commercially exploit, or make available the Connection Cloud Platform to any third party.
The following activities are also expressly prohibited without our prior written permission: use for any non-internal business operations; use of any robot, spider, other automatic device, or manual process to monitor or copy the Cloud Connection Platform or any of its content; "mirroring" the Cloud Connection Platform or any content on any other server; collection or use of product listings, descriptions, or prices for a supplier of competitive or comparable products; and any action that imposes an unreasonable or disproportionately large load on the Cloud Connection Platform or otherwise interferes with its functioning.
The Connection Cloud Platform may contain technological measures designed to prevent unauthorized or illegal use of the Connection Cloud Platform. You acknowledge and agree that: (a) we may use these and other lawful measures to verify your compliance with the terms of this access agreement and to enforce our rights, including all intellectual property rights, in and to the Connection Cloud Platform; (b) we may deny any individual access to and/or use of the Connection Cloud Platform if we, in our reasonable discretion, believe that person's use of the Connection Cloud Platform would violate any provision of this access agreement, regardless of whether you designated that person as an Authorized User; and (c) we and our representatives may collect, maintain, process and use diagnostic, technical, usage and related information, including information about your computers, systems and software, that we may gather periodically to improve the performance of the Connection Cloud Platform. This information will be treated in accordance with our privacy policy, as amended from time to time, which can be viewed at: Privacy Policy or a successor Cloud Connection Platform address.
Except for information that is subject to our Privacy Policy, we will not treat information you post or transmit to the Cloud Connection Platform as confidential or proprietary. By sending information to us through the Cloud Connection Platform (by transmitting, posting, or otherwise), you agree that we may use that information in any way, for any purpose, including our own commercial purposes, subject only to the Privacy Policy.
You may not post or transmit any threatening, defamatory, sexually graphic, inflammatory, profane, or other inappropriate material. We reserve the right to edit or remove any post or transmission that, in our sole judgment, is not appropriate.
We have made every effort to present the content on the Cloud Connection Platform accurately, but additions, deletions and changes may occur. Content on the Cloud Connection Platform is provided "as is"; neither we nor our representatives make any representation or warranty with respect to the content.
We do not warrant that the Connection Cloud Platform will perform error-free or uninterrupted, that we will correct errors, or that the Connection Cloud Platform will meet your requirements or expectations. We are not responsible for any issues related to the performance, operation or security the Connection Cloud Platform or any third party provider or vendor portals or websites accessed through the Connection Cloud Platform.
You understand that we cannot and do not guarantee or warrant that the Connection Cloud Platform or any third party provider or vendor portals or websites accessed through the Connection Cloud Platform will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to the Connection Cloud Platform for any reconstruction of any lost data. To the fullest extent permitted by law, we will not be liable for any loss or damage caused by a distributed denial of service attack, viruses, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of, or access to, the Connection Cloud Platform or any services obtained through the Connection Cloud Platform or to your access to or use of any third party provider or vendor portals or websites accessed through the Connection Cloud Platform.
Connection, to the fullest extent permitted by law, hereby disclaims any and all warranties, express or implied, relating to the Cloud Connection Platform or its content, including but not limited to, implied warranties of merchantability, completeness, timeliness, correctness, noninfringement, or fitness for any particular purpose.
The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.
We may immediately suspend or terminate your right to access products, services, subscriptions, etc., ordered through the Cloud Connection Platform for undisputed payments not timely received when due. You acknowledge and confirm that many orders are non-cancellable and non-refundable, and that the fees set forth in such orders are committed for the term of the order and will become payable regardless of actual use. If we must terminate an order because of your failure to make timely payments, all fees relating to your order, either outstanding or due during the remainder of the term of the order, shall automatically accelerate and be immediately due and payable in full. In the event of a suspension of services, we may restore your use rights upon payment in full of all outstanding balances, plus applicable costs, interest, and other charges incurred by us.
Under no circumstances will Connection or its affiliates have any liability with respect to any claims or damages (whether direct or indirect, special, incidental, consequential or punitive) as a result of your access or use of (or inability to access or use) this Cloud Connection Platform or its content, even if they have been advised of the possibility of such damages. You access and use this Cloud Connection Platform at your own risk.
Any cause of action or claim You may have arising out of or relating to this access agreement or your use of the Connection Cloud Platform must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.
It is important to us that we provide information that is accessible for all users. However, we are not responsible for, nor do we review or control third-party Cloud Connection Platforms. This includes sites to which we may link or third-party content that is displayed on our Cloud Connection Platform. We do not represent that their content is accessible, accurate or appropriate. The creator of such third-party content is responsible for ensuring its materials are accessible to the intended audience. Your use of such is on your own initiative and at your own risk and may be subject to the other sites' terms of use.
The Connection Cloud Platform and all related content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are the sole and exclusive property of Connection, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You do not, and will not, have or acquire under or in connection with this access agreement any ownership interest or other rights of any nature (except as expressly set forth herein) in the Connection Cloud Platform, or in any related intellectual property rights.
The material provided on this Cloud Connection Platform is protected by law, including, but not limited to, United States copyright law and international treaties. The copyright in the content of the Cloud Connection Platform is owned by Connection or other parties that have provided it permission for use. Except for the limited rights granted above, all other rights are reserved.

This Cloud Connection Platform originates in and is controlled and operated by Connection from its offices within the United States. This Cloud Connection Platform may not be appropriate or available for use elsewhere, and access to the Cloud Connection Platform from locations where its contents are illegal is not authorized. If you access this Cloud Connection Platform from outside the United States, you do so at your own risk.

All orders through the Cloud Connection Platform are subject to your assent to all the terms and conditions contained in the Terms of Sale (below), which assent shall be presumed from your creation of a Cloud Connection Platform account, acknowledgment or submission of an order, acceptance of products or services requested, and/or the payment of an invoice. You agree that no writing shall be required to make an order legally binding, notwithstanding contrary requirements in any law, and you agree not to contest the validity or enforceability of a genuine Order under the provisions of a statute of frauds or any other applicable law.
Each order placed through the Cloud Connection Platform is subject to the following Terms of Sale (as applicable) plus any additional terms that may be presented at the time of purchase, including those terms and conditions (e.g., End User License Agreement (“EULA”) or similar agreements) required by third-party manufacturers and developers of products and services.
